By accessing, browsing, or using the website or services provided by Brain Frame (“Brain Frame,” “we,” “us,” or “our”), you (the “User,” which includes both individual and business customers) agree to be bound by these Terms and Conditions (“Terms”). These Terms govern your right to use the SPOT platform and all associated services.
If you do not agree to these Terms, you must not use the website or services.
1. Acceptance of Terms
By clicking “I Accept” or otherwise using our services, you confirm that you are of legal age to enter into a binding contract, and you agree to these Terms in their entirety. We reserve the right to modify these Terms at any time at our sole discretion. Continued use of the service after any modifications constitutes your acceptance of the revised Terms.
2. Services Provided (Spot)
A. Service Scope: Brain Frame provides the Spot device and model, a sophisticated AI assistant designed for various purposes, including automation, knowledge management, and physical control. B. Disclaimer of Guarantee: The services provided by Spot are complex and advanced. While we strive for accuracy, the information, advice, or commands generated by Spot are provided “AS IS” and “AS AVAILABLE.” We do not guarantee that the services will be uninterrupted, error-free, or always available. C. Acceptable Use: You agree to use the Spot platform and our website only for lawful purposes. You must not:
Use the service to generate, transmit, or distribute illegal, defamatory, harassing, or infringing material.
Attempt to interfere with the operation of our systems or bypass security controls.
Use the service in a manner that violates local, state, or federal laws.
3. User Accounts and Credentials
A. Account Responsibility: You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any suspicious activity. B. Account Termination: We reserve the right, but are not obligated, to suspend or terminate any account that violates these Terms or is found to be engaged in abusive or illegal activity.
4. Billing, Payments, and Subscriptions
A. Billing: Subscriptions or purches to the Spot platform and any associated add-ons are processed through third-party payment processors. You agree to provide accurate billing information. B. Payment Changes: You are responsible for paying all applicable charges, including any rate changes, taxes, and service fees, even if you pause or suspend service. C. Refunds and Cancellations: Our refund policy is detailed in our dedicated Refund Policy (or in the Terms of Service). Purchases are generally non-refundable once services have been utilized. D. Billing Disputes: All billing disputes must be raised directly with our billing department.
5. Intellectual Property and Content
A. Ownership: All content, software, and services provided by Brain Frame remain the exclusive property of the company, except for individual purchases of Spot devices which are intended to become owned by the customer.
6. Limitation of Liability
A. “AS-IS” Basis: The services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, either express or implied. B. Limitation: To the maximum extent permitted by law, the company shall not be liable for any indirect, punitive, incidental, or consequential damages arising out of or related to the use of the service or device. C. Indemnity: You agree to defend and indemnify us against any claims, demands, or lawsuits arising out of your breach of this agreement or misuse of the service and device.
7. Governing Law and Jurisdiction
A. Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. B. Dispute Resolution: Any disputes arising under these Terms shall be settled by binding arbitration in Salt Lake County, South Jordan, Utah according to the rules in the state or federal courts.
